Introduction

These Terms of Service ("Terms") govern your access to and use of GTFS Tools, including our website, application, APIs, and related services. By using GTFS Tools, you agree to be bound by these Terms and our Privacy Policy. If you are using GTFS Tools on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Acceptance of Terms

You must accept these Terms to create an account or use the services. If you do not agree, you may not access or use GTFS Tools.

Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and use the services. You must provide accurate information and maintain the security of your account credentials.

Accounts and Security

You are responsible for all activity under your account and for safeguarding your credentials. Notify us immediately of any unauthorized use or security incident. We may suspend access if we detect suspicious activity.

Subscriptions, Billing, and Taxes

Access to certain features may require a paid subscription. Prices, billing cycles, and plan details are described at checkout or within the product. Fees are non-refundable except where required by law or expressly stated otherwise.

• We may charge applicable taxes and process payments through third-party providers.
• You authorize us to store and charge your payment method for recurring fees until you cancel.
• Upgrades or downgrades may change your billing amount and cycle; adjustments take effect per the product’s billing rules.
• If a payment fails, we may suspend or terminate access until payment is resolved.

Your Content and Customer Data

You retain ownership of the GTFS feeds and other data you upload or generate through the services ("Customer Data"). You grant us a limited right to process Customer Data solely to provide and improve the services, comply with law, and prevent abuse.

Our handling of personal data is described in the Privacy Policy. You are responsible for obtaining any required notices or consents from individuals whose data you submit.

Acceptable Use

You agree not to misuse the services. Prohibited activities include:

• Accessing or attempting to access the services without authorization or in violation of these Terms.
• Interfering with or disrupting system integrity or security, or attempting to probe, scan, or test vulnerabilities.
• Using the services for unlawful purposes or to infringe, misappropriate, or violate others’ rights.
• Overloading or abusing APIs or resources beyond permitted rates or quotas.
• Transmitting malware, spam, or other harmful code.

Third-Party Services

Integrations or third-party services you enable are governed by their own terms and privacy policies. We are not responsible for third-party products, and you are responsible for reviewing and complying with their terms.

Intellectual Property

GTFS Tools, including its software, documentation, and branding, is owned by us or our licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of the services.

Feedback

If you provide feedback or suggestions, you grant us a non-exclusive, perpetual, irrevocable license to use it without restriction or compensation.

Service Availability and Support

We strive for reliable service but do not guarantee uninterrupted availability. Scheduled or emergency maintenance may occur. Support commitments, if any, are described in your plan or order form.

Beta and Experimental Features

Beta, preview, or experimental features may be offered on an "as is" basis and may change, break, or be discontinued at any time. Use is at your discretion and risk.

Indemnification

You agree to defend, indemnify, and hold GTFS Tools harmless from claims, damages, liabilities, and expenses arising out of your use of the services, violation of these Terms, or infringement of third-party rights, except to the extent caused by our willful misconduct.

Disclaimers

The services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing or performance.

Limitation of Liability

To the fullest extent permitted by law, GTFS Tools and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or relating to the services is limited to the amount you paid for the services in the 6 months preceding the claim, unless prohibited by law.

Suspension and Termination

We may suspend or terminate access if you breach these Terms, fail to pay fees, or if continued access poses a risk to the platform or other users. You may terminate by cancelling your subscription and discontinuing use. Certain provisions (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) survive termination.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where GTFS Tools is incorporated, without regard to conflicts of law principles. Disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.

Changes to Terms

We may update these Terms from time to time. We will post the updated date at the top of this page and, where required, provide notice. Continued use of the services after changes become effective constitutes acceptance.
